1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Dispatcha ("we", "us", or "our") governing your access to and use of the Dispatcha website at dispatcha.co.uk and the Dispatcha software-as-a-service (SaaS) platform, including all features, tools, and services provided through the platform. By creating an account, subscribing to a plan, or using any part of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Service Description

Dispatcha is a cloud-based dispatch and job management platform designed for service businesses operating in the United Kingdom. The platform provides tools for job management, booking and scheduling, staff management, dispatch operations, and daily reporting. Dispatcha enables businesses to create and manage bookings, assign jobs to staff members, track job progress in real time, and generate operational reports. The platform is accessible via web browser and is designed for use by business administrators and their authorised staff members. We reserve the right to modify, update, or discontinue any feature or aspect of the platform at any time, with or without notice, as part of our ongoing development and improvement efforts.

3. Account Registration and Responsibilities

To use the Dispatcha platform, you must create an account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You must notify us immediately at contact@dispatcha.co.uk if you become aware of any unauthorised use of your account or any security breach. You agree that you will not share your account credentials with any unauthorised third party, create multiple accounts to circumvent plan limitations, or use another person's account without their permission. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms. As the account holder, you are responsible for the actions of all admin and staff members who access the platform through your account.

4. Subscription Terms and Billing

Dispatcha offers several subscription plans, including monthly, yearly, and lifetime payment options. By subscribing to a plan, you agree to pay the applicable fees as described on our pricing page. All prices are quoted in British Pounds Sterling (GBP) and are inclusive of VAT where applicable.

  • Monthly Plans: Monthly subscriptions are billed on a recurring basis every calendar month from the date of initial subscription. You may cancel your monthly subscription at any time, and cancellation will take effect at the end of the current billing period.
  • Yearly Plans: Yearly subscriptions are billed annually from the date of initial subscription at a discounted rate compared to monthly billing. You may cancel your yearly subscription at any time, and cancellation will take effect at the end of the current annual billing period. No partial refunds are provided for unused months within an annual billing cycle.
  • Lifetime Plans: Lifetime plans require a single one-time payment and provide access to the Dispatcha platform for as long as the platform remains operational. Lifetime plans include access to all current and future features at no additional cost.

We reserve the right to change our pricing at any time. Any price changes will not affect existing active subscriptions until the start of the next billing period. We will provide reasonable notice of any price changes.

5. Acceptable Use Policy

You agree to use the Dispatcha platform only for lawful purposes and in accordance with these Terms. You must not use the platform to store, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable. You must not attempt to gain unauthorised access to any part of the platform, other users' accounts, or any systems or networks connected to the platform. You must not use the platform in any way that could damage, disable, overburden, or impair our servers or networks. You must not use automated scripts, bots, or other tools to access the platform except through our published APIs, if any. You must not reverse engineer, decompile, or disassemble any aspect of the platform. You must not use the platform to send unsolicited communications, spam, or marketing messages. Violation of this acceptable use policy may result in immediate suspension or termination of your account without refund.

6. Intellectual Property

All intellectual property rights in the Dispatcha platform, including but not limited to the software, design, graphics, text, logos, trademarks, and all other content, are owned by Dispatcha or our licensors and are protected by United Kingdom and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your internal business purposes during the term of your subscription. You may not copy, modify, distribute, sell, or lease any part of the platform, nor may you create derivative works based on the platform. All data and content that you enter into the platform remains your property. By using the platform, you grant us a limited licence to store, process, and display your data solely for the purpose of providing the service to you.

7. Data Protection

We are committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By using the Dispatcha platform, you acknowledge that you have read and understood our Privacy Policy. If you enter customer data or other personal data into the platform as part of your business operations, you are the data controller for that data and you are responsible for ensuring that you have the appropriate legal basis and consent to process that data. Dispatcha acts as a data processor on your behalf and will process such data only in accordance with your instructions and our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law, Dispatcha shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or business interruption, arising out of or in connection with your use of or inability to use the platform, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for all claims arising out of or relating to these Terms or the platform shall not exceed the total amount you have paid to us in subscription fees during the twelve months immediately preceding the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

9. Availability and Warranties

We strive to ensure that the Dispatcha platform is available at all times, but we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will meet your specific requirements, that the platform will be uninterrupted, timely, secure, or error-free, or that any defects in the platform will be corrected.

10. Termination

You may terminate your account and stop using the Dispatcha platform at any time by contacting us at contact@dispatcha.co.uk. For monthly and yearly subscriptions, termination will take effect at the end of the current billing period. We may suspend or terminate your access to the platform immediately, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if your account poses a security risk. Upon termination, your right to access the platform ceases immediately. We will retain your data for a reasonable period following termination to allow you to export your data, after which it will be deleted in accordance with our Privacy Policy.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dispatcha, its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the platform, your violation of these Terms, your violation of any third-party rights, or any data you enter into the platform.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the use of the Dispatcha platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before commencing legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at contact@dispatcha.co.uk. We will make reasonable efforts to resolve the dispute through good-faith negotiation.

13. Changes to These Terms

We reserve the right to modify or update these Terms at any time. When we make changes, we will update the "Last Updated" date at the bottom of this page. If we make material changes to these Terms, we will notify you by email or through a notice on the platform. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the platform and terminate your account.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Dispatcha regarding your use of the platform and supersede all prior agreements, understandings, and representations, whether written or oral, relating to the subject matter of these Terms.
